April 2011: IRS Provides Guidance on Form W-2 Reporting of Employer-Provided Health Care Costs
The Internal Revenue Service recently provided interim guidance on Form W-2 reporting of the cost of employer provided group health care coverage. This reporting requirement will take effect beginning with Forms W-2 generated for the calendar year 2012 and required to be issued to employees in 2013.

April 2011: Repeal of Expanded Form 1099 Reporting Legislation Headed to President for Signature
Affecting businesses paying corporate vendors and sellers of goods and services at least $600 in a single year, and owners of rental real estate.

March 2011: Internal Revenue Service Announces Plan to Examine 401(K) Plans that Failed to Submit Questionnaire
In May 2010, the IRS sent out letters and instructions to a random sample of 1,200 employers that sponser 401(k) plans, asking them to complete a "401(k) Compliance Check Questionnaire."

February 2011: IRS Announces New Offshore Voluntary Disclosure Initiative
The IRS announced on February 8, 2011, a new voluntary disclosure initative to encourage individuals with undisclosed income from hidden offshore accounts to get current with their federal tax obligations.

Winter 2011: Key Provisions in the Tax Relief, Unemployment Insurance Reauthorization, and Job Creation Act of 2010
On December 17, 2010 President Obama signed the Tax Relief, Unemployment Insurance Reauthorization, and Job Creation Act of 2010. This newsletter discusses the main provisions of the Tax Relief Act which were to extend the Bush-era 2001 and 2003 tax cuts for all income levels for two years, extend unemployment insurance for another 13 months, and set the estate tax at 35 percent through 2012. How some key provisions affect Private Equity and their investors is also discussed.

December 2010  Federal Tax: Tax Relief Act Extends Current Tax Rates, Renews Expiring Provisions and Provides New Incentives for Business
On December 17, 2010, President Obama signed the Tax Relief, Unemployment Insurance Reauthorization, and Jobs Creation Acto of 2010 (the "Act"). The Act extends current tax rates on individuals through 2012, reinstates the estate tax with a 35% tax rate for 2011 and 2012, and extends various other expiring tax provisions that had expired at the end of 2009 or were scheduled to expire at the end of 2010. The Act provides individual alternative minimum tax ("AMT") relief for 2010 and 2011. The Act also provides for a reduction in employment taxes during 2011. This Tax Alert provides a brief summary of the principal provisions of the Act.

December 2010  Employee Benefit Plan Commentator
The Internal Revenue Service announced cost-of-living adjustments applicable to dollar limitiations for pension plans and other items for tax year 2011, all of which are identical to the comparable amounts for 2010.

November 2010  Federal Alert: Capital Gain Exclusion On Small Business
On September 27, 2010, President Obama signed into law the Small Business Jobs Act of 2010 (the "Jobs Act"). One of the more intriguing provisions of the Jobs Act is the 100% exclusion from gross income of capital gains from the sale of certain qualified small stock. The details of this provision are explored here.

November 2010  Retail Compass Survey of CFOs
The Retail Compass Survey is a national telephone survey conducted by Market Measurement, Inc., an independent market research consulting firm, whose executive interviewers spoke directly with chief financial officers. The survey was conducted within a scientifically-developed, pure random sample of the nation's leadinf retailers. This edition examined the opinions of 100 CFOs at the largest retailers in the county, with revenues of more than $100 million based on annual sales revenue.

October 2010  Tax Alert: Small Business Jobs Act Provides Additional Investment Incentives and Small Business Tax Relief
Summary: On September 27, 2010, President Obama signed the Small Business Jobs Act of 2010 (the "ACT"). The Act provides several tax incentives for business investment or access to capital, and makes other modifications primarily affecting small businesses. The tax incentives are temporary, primarily affecting 2010 and 2011 taxable years. Several revenue offsets have also been enacted. This Tax Alert provides a breif summary of the principal provisions of the Act.
